("Synapse Valuetech", "we", "us" or "our"), a company incorporated in India with its registered office at 0807, 8th Floor, Tower 4, DLF Corporate Greens, Southern Periphery Road, Sector 74A, Gurugram, Haryana 122004.

By accessing this website, submitting an enquiry, or engaging us for services, you agree to be bound by these Terms. If you do not agree, please do not use this website or our services.

1. Services

Synapse Valuetech provides IT and digital transformation services, including ERP and software implementation, product development, process automation, cloud infrastructure, analytics, cybersecurity solutions, consulting, staffing and support services.

The specific scope, deliverables, timelines, acceptance criteria and commercial terms of any engagement are set out in a separate written proposal, statement of work, purchase order or master services agreement ("Engagement Document"). Where an Engagement Document conflicts with these Terms, the Engagement Document prevails for that engagement.

2. Use of this Website

You agree to use this website only for lawful purposes. You must not:

1. attempt to gain unauthorised access to any part of the website, its servers, or connected systems;
2. introduce malicious code, or interfere with the availability, integrity or performance of the website;
3. use automated means to scrape, harvest or extract data without our prior written consent;
4. misrepresent your identity or affiliation when submitting information through our forms.

3. Enquiries and Communications

When you submit a contact, consultation or newsletter form, you consent to us contacting you by email, telephone or messaging platforms in relation to your enquiry. You may withdraw consent for marketing communications at any time by writing to mail@synapsevaluetech.com. Information you submit is handled in accordance with our Privacy Policy.

4. Intellectual Property

Ownership of deliverables created during a client engagement is governed by the applicable Engagement Document. Unless expressly agreed otherwise, pre-existing tools, frameworks, libraries and know-how used by Synapse Valuetech remain our property.

5. Client Responsibilities

Where we deliver services to you, you agree to provide timely access to the people, systems, data, licences and approvals reasonably required for the engagement. Delays or inaccuracies in information provided by you may affect agreed timelines and costs.

6. Fees and Payment

Fees, payment milestones, currency and applicable taxes are stated in the relevant Engagement Document. Unless otherwise agreed, invoices are payable within thirty (30) days of the invoice date. Statutory taxes, including GST, apply in addition to quoted fees. We reserve the right to suspend services where undisputed invoices remain unpaid beyond the agreed period.

7. Confidentiality

Each party will keep confidential any non-public information disclosed by the other in the course of an engagement, and will use it only for the purposes of that engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or a competent authority.

8. Third-Party Products and Links

Our solutions may incorporate third-party platforms, licences or hosting services. Those products are governed by their own vendor terms, and their availability, support and licensing are outside our control. This website may also link to third-party sites, which we do not control or endorse and for which we accept no responsibility.

9. Disclaimer of Warranties

Content on this website is provided for general information only and does not constitute professional, legal, financial or technical advice. While we take care to keep information accurate and current, we make no warranty that the website will be uninterrupted, error-free, or free of harmful components. Services provided under an Engagement Document carry only the warranties expressly stated in that document.

10. Limitation of Liability

To the maximum extent permitted by law, Synapse Valuetech will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill, business opportunity or data, arising from your use of this website or our services. Our total aggregate liability in connection with an engagement will not exceed the fees paid by you to us under that engagement in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct.

11. Indemnity

You agree to indemnify and hold harmless Synapse Valuetech, its directors, employees and contractors against claims, damages and reasonable costs arising from your breach of these Terms, your misuse of the website, or your infringement of any third-party right.

12. Force Majeure

Neither party will be liable for delay or failure to perform obligations caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, government action, strikes, failures of public infrastructure, internet or power outages.

13. Suspension and Termination

We may suspend or withdraw access to this website at any time without notice. Termination rights for a services engagement are set out in the applicable Engagement Document. Clauses relating to intellectual property, confidentiality, limitation of liability, indemnity and governing law survive termination.

14. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, technology or legal obligations. The revised version takes effect when published on this page, and the "last updated" date above will change accordingly. Continued use of the website after publication constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India. The courts at Gurugram, Haryana have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any dispute resolution mechanism agreed in an Engagement Document.
